HCL Tech's step-down arm to acquire Croatia-based Robotiq.ai for 9 mln euros

MUMBAI – HCL Technologies Ltd. Monday said in a stock exchange filing that its step-down wholly-owned subsidiary HCL Technologies Austria GmbH will acquire 100% equity of Robotiq.ai for a cash consideration of 9 million euros, or about INR 981.5 million. The 9 million euros was calculated by the company as the enterprise value, adjusted for "customary post-closing adjustments for net debt and working capital," it said.
Robotiq.ai is based in Zagreb, Croatia, and had reported revenue of 1.4 million euros for 2025 (Jan-Dec) and 0.9 million euros for 2024, along with a net profit of 0.2 million euros for 2025. as per the stock exchange filing by HCL Technologies. It provides enterprise-grade robotic process automation to automate repetitive processes across business applications in large banks, and insurance and telecom companies, as per the filing.
HCL Technologies said the acquisition would likely close in November and the acquired asset would come under the operations of its software business division HCLSoftware. The company said the acquired asset would extend its "UnO Agentic's orchestration capabilities from decision-making to execution."
For the June quarter, HCL Tech reported a consolidated net profit of INR 46.24 billion on revenue of INR 345.79 billion. Monday, shares of the company ended at INR 1,252.60 on the National Stock Exchange, down 0.4% from Friday's close. End
