MUMBAI – The Tata Trusts, which collectively hold 66% stake in Tata Sons Pvt. Ltd., Monday said they have proposed rejigging the structure of Tata Sons so that it remains neither a non-banking finance company nor a core investment company. The trusts have proposed merging Tata Electronics Systems Solutions Pvt. Ltd. and Tata Consulting Engineers with Tata Sons.
If the proposal is approved, the amalgamated entity will ensure Tata Sons does not meet the "principal business criteria" of a non-banking financial company and will also not meet the conditions applicable to a core investment company.
"The Tata Trusts believe that the proposed reorganization and action plan for compliance would be in the best interests of the Tata Group as well as its stakeholders, in addition to being a regulatory permissible and compliant form of reorganization of a CIC (core investment company)," the trusts said in a statement.
The trusts have written to the board of Tata Sons, asking it to consider and approve the proposal. They have also asked Tata Sons to apply to the Reserve Bank of India for a "no-objection certificate" for the proposed merger and reorganisation of Tata Sons. "The Tata Trusts, along with TSPL, will engage with the RBI on all aspects of the proposed reorganisation," Tata Trusts said.
The latest proposal from the House of Tatas comes weeks after Tata Trusts Chairman Noel Tata was outvoted at a meeting of the Tata Sons board on the reappointment of N. Chandrasekaran as chairman of the holding company. The board of Tata Sons voted in favour of reappointing Chandrasekaran as their chief for a third five-year term and to take steps to comply with the central bank's directive to list the company. Both moves were vehemently opposed by the Tata Trusts.
Days before the latest meeting of Tata Sons' board, the RBI had rejected an application from Tata Sons to voluntarily surrender its certificate as a core investment company. Once the proposed reorganisation is completed, Tata Sons would cease to be a core investment company and Tata Sons would surrender its certificate of registration, the Tata Trusts said.
Noel Tata called the U-turn on Chandrasekaran's appointment illegal and reiterated the trusts' demand to keep Tata Sons unlisted. "The proposed reorganization will result in TSPL (Tata Sons) reverting to its previous operating model, with its own operations and revenues, in addition to being a holding company for the Tata Group," Tata Trusts said.
