NEW DELHI – The National Company Law Tribunal Friday allowed a first motion application on the scheme of arrangement between Sammaan Capital Ltd. and Sammaan Finserve Ltd., the former said in an an exchange filing. The scheme relates to the demerger of Finserve's non-banking finance company business and merging it into the parent entity, Sammaan Capital.
In its order, the tribunal directed Sammaan Capital to convene a meeting of its equity shareholders to approve the scheme. The NCLT also dispensed with a shareholder meeting of Sammaan Finserve and a meeting of the secured and unsecured creditors of both the companies, as the petitioners had asked.
"The company would be filing an application with the NCLT seeking certain clarifications/modifications with respect to the above order," Sammaan Capital said in the filing.
The proposed scheme of arrangement had been floated by the listed entity on Dec. 31 to consolidate the NBFC business into a single company. The strategic move would rationalise costs and ensure better allocation of capital, the scheme said. Sammaan Capital posted a consolidated net loss of INR 81.01 billion in the March quarter, led by a one-time expense of INR 65 billion. Its shares ended 3.8% higher at INR 174.42 apiece on the National Stock Exchange on Friday. End
