MUMBAI – Kotak Mahindra Bank Tuesday said it will integrate the business operations of its wholly owned subsidiary Kotak Mahindra Investments Ltd. with the bank from Apr. 1, in line with regulatory requirements and as part of a group simplification exercise.

In an exchange filing, the bank said Kotak Mahindra Investments will stop sanctioning new loans from Apr. 1, while continuing to service its existing loan book and honour obligations under agreements executed up to Mar. 31.

The move follows the Reserve Bank of India's 2025 directions on banks undertaking financial services, which require clearer structuring of business activities within banking groups. Kotak Mahindra Bank said the decision is aimed at ensuring compliance with these norms while driving operational synergies and simplifying group structure.

The subsidiary's financial contribution to the group remains limited, the bank said, with net total income of INR 7.95 billion and profit after tax of INR 5.01 billion in 2024-25 (Apr-Mar), accounting for about 1% and 2.3% of the bank's consolidated figures, respectively. The bank added that the restructuring will not have a material impact on its consolidated financials.

On Tuesday, shares of the bank ended 2.9% higher at INR 366.85 on the National Stock Exchange.  End
