Grasim Industries to consolidate renewable ops into Aditya Birla Renewables

HYDERABAD - Grasim Industries Ltd.'s board on Monday approved a composite scheme of arrangement to consolidate and simplify several renewable energy businesses within the Aditya Birla Group. Under the plan, the renewable energy assets and operations of Essel Mining & Industries Ltd. will be transferred to Aditya Birla Renewables Ltd., a wholly owned subsidiary of Grasim, the company said in an exchange filing.

 

As part of the scheme, Electrotherm Renewables Pvt. Ltd. and a group of related engineering, procurement and construction-related subsidiaries will be amalgamated into Aditya Birla Renewables, Grasim said.

 

The companies set to merge with Aditya Birla Renewables include Electrotherm Renewables Pvt. Ltd., Electrotherm EPC Services Pvt. Ltd., Electrotherm Infrastructure Pvt. Ltd., Electrotherm Solar Projects Pvt. Ltd., and other related step-down EPC and project companies. The combined entity will act as the consolidated renewable energy company within Grasim Industries, the filing said.

 

The scheme is designed to create a single, consolidated renewable energy platform with greater operational efficiency and scale, Grasim said. The amalgamation plan aims to streamline management, improve synergies across solar, wind and related services, and simplify the corporate structure of the businesses involved. The arrangement remains subject to approvals from shareholders, creditors and the National Company Law Tribunal, as well as other regulatory permissions that may be required before it can take effect, Grasim said.

 

On Dec. 10, Grasim Industries said, Global Infrastructure Partners, an infrastructure investment arm of BlackRock, is set to invest up to INR 30 crore for a minority stake in Aditya Birla Renewables. With this, Aditya Birla Group's renewable energy platform valued around INR 146 billion. Aditya Birla Renewables has a target of achieving 10 GW capacity in the next few years.

 

For the September quarter, Grasim Industries reported a net profit of INR 7.93 billion on a revenue of INR 96.10 billion. Monday, shares of the company closed nearly 1% higher at INR 2,842.40 on the National Stock Exchange.  End
