NEW DELHI - The Bengaluru bench of the National Company Law Tribunal has approved Amazon Transportation Services Pvt. Ltd.'s merger into Amazon Seller Services Pvt. Ltd. With the sanction of the merger scheme, Amazon Transportation Services shall stand dissolved without being wound up, without any further act or deed, the tribunal said.

 

There are common shareholders in both companies and both are wholly-owned subsidiaries of Amazon Corporate Holdings Pvt. Ltd., a Singapore-based entity that functions as a key investment holding company for Amazon's operations in India. Amazon Transportation Services was incorporated in 2012 and Amazon Seller Services came into being in 2010. 

 

Amazon Transportation Services was engaged in the business of providing logistics and transportation services anywhere in India or in any part of the world. Amazon Seller Services is engaged in the business of rendering marketplace services, other marketplace related services and marketing support services, including information technology-enabled services.

 

Amazon Seller Services undertook that the employees of Amazon Transportation Services shall be deemed to have become employees of the former without any interruption of service. Amazon Seller Services said the merger was being conducted to reduce legal and regulatory compliance requirements and better manage the infrastructure and other resources of the two companies.  End
