Bharat Forge merges German subsidiaries

NEW DELHI – Bharat Forge Ltd. Thursday said its Germany-based wholly-owned step-down subsidiary Bharat Forge Holding GmbH has been merged with its Germany-based wholly-owned subsidiary Bharat Forge Global Holding GmbH, which is also the immediate holding company of Bharat Forge Holding, pursuant to the merger agreement dated Aug. 18. The effective date of the merger as per relevant German laws was Aug. 25, and accordingly, Bharat Forge Holding ceases to exist from the effective date, as per the exchange filing by the company.
With this, Bharat Forge Aluminiumtechnik GmbH, which was a subsidiary of Bharat Forge Holding, has now become the direct subsidiary of Bharat Forge Global Holding GmbH. "There is no implication of this merger for the Company on standalone as well as consolidated financial statements and has been done to simplify the structure," the company said. Both Bharat Forge Global Holding and Bharat Forge Holding are engaged in the business of acquiring interests in, installing and keeping other companies, inbound and outbound, as well as controlling and managing those interests as a managing holding, it added.
"Since BFH (Bharat Forge Holding) is a wholly-owned subsidiary of BFGH (Bharat Forge Global Holding), neither any consideration will be paid nor any shares are being issued by BFGH (Bharat Forge Global Holding). There would be no change in the shareholding of the company," according to the exchange filing. For the year ended Dec. 31, 2025, Bharat Forge Global Holding had a turnover of 6.09 million euros.
For the June quarter, the company's net profit was INR 3.21 billion on revenues of INR 23.47 billion. Thursday, shares of the company closed 1.3% lower at INR 1,954.90 apiece on the National Stock Exchange. End
