SEBI gives more time to old angel funds to meet accredited investor norm

MUMBAI – The Securities and Exchange Board of India Monday extended the deadline to Mar. 31 from Tuesday for angel funds registered before Sept. 11, 2025, to implement the accredited investor mandate. Angel funds are a sub-category of category one alternative investment funds.
The market regulator had in September last year revised the regulatory framework for angel funds in which all such funds getting registered with SEBI after Sept. 10, 2025, had been mandated to onboard and offer investment opportunities to accredited investors only. Accredited investors are those investors which meet certain minimum net worth and other criteria and are certified as such. These investors attract lower regulatory oversight under SEBI's framework.
SEBI had given existing angel funds a transition period of one year. As per SEBI's directions, the angel funds were to stop accepting investment contributions in an investee company from non-accredited investors after Tuesday. This deadline has now been pushed to Mar. 31.
The market regulator had also said existing investors of such angel funds could continue to hold their investments already made in the funds. This is not linked to any deadline and existing investors can hold their investments as per the terms of the fund documents of the angel fund. End
