--NCLT Mumbai approves merger of Docon Technologies with API Holdings
NEW DELHI – The Mumbai bench of the National Company Law Tribunal has approved the merger of Docon Technologies Pvt. Ltd. with API Holdings Ltd., both companies being members of the promoter group of Thyrocare Technologies Ltd. Docon Technologies will be dissolved without winding up, the tribunal said. The appointed date for the scheme of amalgamation is Apr. 1, 2025.
Thyrocare Technologies, in a stock exchange filing, said Docon Technologies shall stand amalgamated with API Holdings, and all assets, liabilities, undertakings, rights, and obligations of the transferor company shall stand transferred to and vested in the transferee company. Consequently, Docon Tech's entire shareholding in Thyrocare Technologies, comprising 81.20 million equity shares, representing 51.02% of the paid-up share capital of the latter, shall, by operation of law, stand transmitted to and vested in API Holdings, it said.
There shall be no change in the aggregate shareholding of the promoter and promoter group of the company, which shall continue to be 51.02%, Thyrocare Technologies said. The shareholding shall be held by API Holdings as a member of the promoter group in place of Docon Tech.
The merger will help in streamlining the corporate structure and consolidation of assets and liabilities of Docon Technologies with API Holdings, leading to synergies of operations and resulting in expansion and long-term sustainable growth, as per the scheme. The merger will help reduce administrative responsibilities and multiplicity of records, and aid in legal and regulatory compliances, cost savings, and elimination of duplicate expenses, it said.
Docon Technologies is engaged in the business of developing and licensing software for creation and storage of electronic medical records by doctors. The company is also engaged in the business of providing teleconsultation services by doctors as well as diagnostic and healthcare services, including collection of samples, conducting of diagnostic tests, and generation of test reports through owned laboratories or collection centres or partner laboratories and collection centers.
API Holdings is engaged in trading pharmaceutical and cosmetic goods and licensing of internet portals or mobile applications related to sales and distribution of pharmaceutical and cosmetic goods.
Tuesday, shares of Thyrocare Technologies Ltd. ended at INR 590.55 on the National Stock Exchange, down 2.3% from Monday. End
