NEW DELHI – The Ahmedabad bench of the National Company Law Tribunal Monday approved the merger of Gopalaya Build Estate Pvt. Ltd. and Adani Transmission Step-Five Ltd. with Halvad Transmission Ltd. Adani Transmission and Halvad Transmission are wholly-owned subsidiaries of Adani Energy Solutions Ltd., while Gopalaya Build Estate is a wholly-owned arm of Halvad Transmission.

 

The tribunal said the scheme of amalgamation between the companies is sanctioned and will be binding on all parties, with the scheme's appointed date being Apr. 1, 2025. Gopalaya Build and Adani Transmission will be dissolved without winding up, the tribunal said.

 

All equity shares issued by Gopalaya Build and held by Halvad Transmission or its nominees shall stand cancelled, and no shares shall be issued by the latter, the tribunal said. Halvad Transmission shall issue and allot the requisite number of fully paid-up equity shares to the equity shareholders of Adani Transmission in accordance with the scheme, it said.  

 

The scheme of amalgamation said the merger will help consolidate and rationalise Halvad Transmission's corporate structure. The merger will reduce duplicated functions, rationalise administrative and compliance costs, enable centralised management, optimise financial resources, and simplify the compliance framework. 

 

Gopalaya Build procures land for electrical substations. Adani Transmission Step-Five is an acquisition vehicle for power transmission projects under the wider Adani Energy Solutions. Halvad Transmission is a special purpose vehicle by Adani Energy to build and maintain a major power transmission network in Gujarat.

 

Monday, shares of Adani Energy Solutions ended 10.4% lower at INR 1,417.40 on the National Stock Exchange.  End
