--Zee Ent raises INR 6.6 bln from Sunbright Mauritius Invest via warrants 

 

MUMBAI – Zee Entertainment Enterprises Ltd. has received INR 6.60 billion from promoter group entity Sunbright Mauritius Investments Ltd. as 25% subscription money for 2.09 billion fully convertible warrants allotted on a preferential basis at INR 126 per warrant, the company said in a filing.

 

The remaining 75%, or INR 94.50 per warrant, will be payable upon conversion. Each warrant is convertible into one equity share at INR 126 apiece.

 

Sunbright Mauritius Investments can convert the warrants in one or more tranches within 18 months from Aug 21. On full conversion, the promoter group entity will hold a 17.90% stake in the company on a fully diluted basis, assuming all currently outstanding convertible warrants are converted.

 

Earlier this month, the Securities Appellate Tribunal allowed Zee Entertainment Enterprises Ltd. to proceed with its INR-31.43-billion preferential warrant issue. 

 

On Jul. 31, the Securities and Exchange Board of India had barred Zee Entertainment Enterprises from the securities market for two months, and Managing Director and Chief Executive Officer Punit Goenka and Chairman Emeritus Subhash Chandra for a year over an unauthorised pledge of the company's land in Hyderabad to secure loans taken by promoter-linked Essel group entities. The market regulator has also imposed penalties totalling INR 14.8 million on the parties. The regulator has imposed a penalty of INR 3 million on Zee Entertainment, INR 5.8 million on Goenka, and INR 6 million on Chandra, according to the order. 

 

Friday, shares of the company closed at INR 107.58 apiece on the National Stock Exchange, down 0.4%. For the June quarter, Zee Entertainment Enterprises reported a consolidated net profit of INR 763.0 million on revenues of INR 19.35 billion.  End
