NEW DELHI – Lupin Ltd. Thursday said its wholly-owned subsidiary based in Netherlands, VISUfarma B.V., has entered into an exclusive licensing agreement with US-based Visus Therapeutics Inc. to commercialise YUVEZZI, an ophthalmic product for treating presbyopia in adults. Visus Therapeutics is a wholly-owned subsidiary of Tenpoint Therapeutics Holding Ltd.
Under the agreement, VISUfarma will have exclusive rights for regulatory activities, commercialisation, marketing, promotion, distribution, and sale of YUVEZZI in the licensed territories of the European Union, UK, Switzerland, Norway, and Iceland. The agreement will remain valid for 20 years from the date of first commercial sale in each country, with an option to renew for successive five-year periods, as mentioned in the exchange filing. YUVEZZI is a once-daily dual-agent eye drop containing carbachol and brimonidine tartrate and is approved by the US Food and Drug Administration for presbyopia.
The total potential consideration under the agreement is up to 75 million euros through first commercial sales, comprising a 20-million-euro strategic investment in Visus through a simple agreement for future equity instruments and up to 55 million euros in regulatory and commercial milestone payments. Tenpoint and Visus, individually or collectively, will also be eligible to receive royalties based on net sales and sales milestone payments upon achieving specified sales thresholds.
For the June quarter, Lupin reported a consolidated net profit of INR 14.15 billion on revenues of INR 82.77 billion. At 1110 IST, its shares traded 0.2% lower at INR 2,220.70 on the National Stock Exchange. End
