--NCLT approves Silverleaf Capital's merger with Share India Securities

NEW DELHI – The Ahmedabad bench of the National Company Law Tribunal Thursday approved the merger of Silverleaf Capital Services Pvt. Ltd. with Share India Securities Ltd. The Bench of judicial member Shammi Khan and technical member Sanjeev Sharma said the scheme of amalgamation between the two companies is allowed. Silverleaf Capital shall stand dissolved without the process of winding up, said the scheme of amalgamation.
According to the scheme, Share India Securities will issue 500 equity shares of INR 2 each, credited as fully paid up, to the equity shareholders of Silverleaf Capital for every one equity share of INR 10 each held in the latter. Entire issued share capital and share certificates of Silverleaf Capital will automatically stand cancelled, said the scheme. Shareholders of the Silverleaf Capital will not be required to surrender the share certificates held in the company, it said.
The merger scheme said that all staff, workmen, and employees of Silverleaf Capital shall become staff of Share India Securities. Provident fund, gratuity fund, superannuation fund and any other special fund or trusts or scheme or benefits created or existing for the benefit of the employees of Silverleaf Capital shall be continued on the same terms or conditions or be transferred to the existing provident fund, employee state insurance contribution, gratuity fund, superannuation fund, staff welfare scheme being maintained by Share India Securities, it said.
According to the scheme, the merger would result in business synergy, consolidation of the companies and pooling of their resources into a single entity. The merger would enable Share India Securities to have valuable additions to its technology stack, provide additional product portfolio, aid in diversifying revenue and expedite global expansion, thereby adding value to its shareholders. Silverleaf Capital's focus on technology and innovation will bring new ideas and approaches to Share India Securities, fostering a culture of continuous improvement and innovation, said the scheme. Shareholders of the listed Share India Securities will enjoy a stronger technology backbone, improved operating efficiency, better profit margins and higher growth potential for the company, it said.
Silverleaf Capital Services is a technology company that operates in the financial services space and high frequency trading. Silverleaf Capital combines machine learning, artificial techniques and mathematical modelling with in-house low latency software and hardware trading capability to discover and profit from market inefficiencies to offer low latency statistical arbitrage, market making and support for research projects. Share India Securities is engaged in share and stock broking, commodity derivatives broking, equity derivatives broking, currency derivatives broking, portfolio management, research analysis, mutual funds distribution, and to invest, buy, sell, or otherwise deal in all kinds of securities and other related activities.
At 1108 IST, the shares of Share India Securities Ltd. were up 0.1% at INR 175.43 on the National Stock Exchange. End
