NEW DELHI – The Ahmedabad bench of the National Company Law Tribunal Tuesday approved the merger of nine subsidiaries of Adani Power Ltd. with the parent company. The companies include Adani Power Dahej Ltd., Kutchh Power Generation Ltd., Resurgent Fuel Management Ltd., Mahan Fuel Management Ltd., Orissa Thermal Energy Ltd., Korba Power Ltd., Anuppur Thermal Energy (MP) Pvt. Ltd., Mirzapur Thermal Energy (UP) Pvt. Ltd. and Emberiza Infra Park Ltd. Each of the transferor companies shall stand dissolved without being wound up, said the scheme of amalgamation.
All the equity shares issued by the transferor companies and held by Adani Power and its nominees shall stand cancelled and extinguished and there shall be no allotment of equity shares in the latter, said the scheme of amalgamation. All intellectual property rights of the respective transferor companies shall stand transferred to and vested in Adani Power, said the scheme. Further, all the staff and employees of the respective transferor companies shall become, and be deemed to have become, the staff and employees of Adani Power, stated the merger scheme.
The scheme of merger says that the amalgamation will help enhance the scale of operations, improved controls, operational flexibility, optimisation of overheads, organisational efficiency and optimal utilisation of various resources. It will aid in improving creditworthiness with optimised capital structure and cash flows, pooling of financial resources and increased asset base with improved visibility of combined revenue and profitability, said the scheme. There will be improvement in credit profile which will lead to reduction in borrowing costs, it said. There will be simplification of corporate structure by reducing the multiplicity of legal and regulatory compliances, it said.
The entire scheme of amalgamation also includes merger of Vidarbha Industries Power Ltd. with Adani Power. However, that merger process is pending before the Mumbai bench of the National Company Law Tribunal, which is yet to give an approval to the amalgamation.
For Apr-Jun, Adani Power's consolidated net profit jumped 42% on year to INR 48.06 billion. The company's revenue rose 34% on year to INR 189.02 billion. The energy company's consolidated power sales volume during the June quarter rose 17% on year to 28.8 billion units. The total share capital of Adani Power is INR 42.73 billion.
At 1308 IST, the shares of Adani Power traded 1.2% lower at INR 211.00 on the National Stock Exchange. End
