NEW DELHI – Public sector companies had 22 vacant posts of full-time directors prior to Jul. 30, Minister of State for Finance Pankaj Chaudhary said Monday. "Of these 22 posts, only three posts are vacant for more than six months," Chaudhary said in his written response to a question in the Lok Sabha. These vacant posts include seven posts of chairman and managing director or managing director and 15 posts of functional directors in various central public sector enterprises, he said.

Currently, 75 positions of non-official independent directors are filled in various state-owned companies as against the requirements of around 750 as per provisions of Companies Act, 2013 and the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations. "The Search Committee has made recommendations for filling up around more 100 positions of non-official (Independent) Directors on the Boards of various central public sector enterprises," Chaudhary said.

The government has also issued guidelines to assign additional charge for manning vacant board-level posts in public-sector companies so that regular functioning of these companies is not adversely affected, the minister said.

Generally, the Public Enterprises Selection Board is responsible for the selection and recommendation of personnel for the post of chairman, managing director, and functional director in any state-owned company. However, in some instances, the government may decide to fill a board-level post through the Search-cum-Selection Committee procedure, on a deputation basis. The government may also decide to keep particular board level posts in abeyance.  End
