NEW DELHI – The Hyderabad bench of the National Company Law Tribunal on Tuesday approved the merger of Vintage Coffee Pvt. Ltd. and Delecto Foods Pvt. Ltd. with their parent Vintage Coffee & Beverages Ltd. Vintage Coffee and Delecto Foods are wholly-owned subsidiaries of Vintage Coffee & Beverages.
Under the merger scheme, Vintage Coffee & Beverages' equity capital in the two subsidiaries and the corresponding investments appearing on the asset side of its balance sheet will stand cancelled. Any difference between the share capital of the subsidiaries and the corresponding investments recorded in the books of Vintage Coffee & Beverages will be adjusted against reserves.
The merger will consolidate the business into a single entity, enabling the company to harness operational synergies, optimise the use of equipment and human resources, and strengthen the merged entity, the scheme of amalgamation said.
The merger is also expected to reduce administrative costs, overheads, and procedural work, improve operational efficiencies, and enhance profitability. Since all three companies operate in the same business, the merger will help achieve economies of scale and lower costs, the scheme said.
Vintage Coffee & Beverages has a paid-up share capital of INR 1.46 billion. The company manufactures and exports instant coffee, instant chicory, and related beverage products.
Tuesday, shares of Vintage Coffee & Beverages ended 1.5% lower at INR 156.61 on the National Stock Exchange. End
