Clean Science in pact with Swiss co, get warrants, option to buy 25% equity

NEW DELHI – Clean Science and Technology Ltd. Thursday said its wholly-owned subsidiary Clean-Fino Chem Ltd. has entered into definitive agreements for a long-term strategic collaboration with Switzerland-based Geneus Chem AG to manufacture advanced grades of hindered amine light stabiliser products, strengthening its speciality chemicals portfolio. 

 

Under the agreement, Clean-Fino Chem will manufacture advanced grades of hindered amine light stabiliser products on an 'exclusive' worldwide basis. The products will be manufactured in India and sold in both domestic and international markets. Manufacturing consideration will be based on a pricing formula to be agreed between the two parties, according to the exchange filing. 
 

As part of the collaboration, Geneus Chem has agreed to issue share warrants to Clean-Fino Chem, exercisable within four years. On exercise, the subsidiary will acquire 25% stake in the Swiss company on a fully diluted basis by paying a nominal price per share. No upfront consideration is payable for subscribing to the warrants. 

 

Geneus Chem, incorporated in 2022, is engaged in research, development, manufacturing, and trading of advanced-grade hindered amine light stabiliser products. Clean Science said it is not currently operating at a significant revenue scale. 

 

For the March quarter, Clean Science and Technology reported a consolidated net profit of INR 582.72 million on revenues of INR 2.49 billion. On Thursday, shares of the company ended at INR 768.35 on the National Stock Exchange, down 0.2%.  End
