--NCLT Mumbai approves merger of Embellish Houses with Godrej Properties

NEW DELHI – The Mumbai bench of the National Company Law Tribunal Wednesday approved the merger of Embellish Houses Pvt. Ltd. with Godrej Properties Ltd. Embellish Houses is a wholly-owned subsidiary of Godrej Properties. Since all the requisite statutory compliances have been fulfilled, the scheme of amalgamation filed by the companies is allowed, and the merger is made absolute, said a bench of judicial member Anil Raj Chellan and technical member K.R. Saji Kumar.
No shares of Godrej Properties will be allotted towards discharge of consideration or in exchange of the equity shareholding in Embellish Houses, according to the merger scheme. The share certificates, if any, and shares in electronic form representing shares in Embellish Houses will be deemed to be cancelled without any further act or deed for cancellation thereof, and will cease to be in existence accordingly, according to the scheme. Embellish Houses will stand dissolved without winding up, the tribunal said.
The merger scheme does not provide for the combination of the authorised share capital of both the companies. The appointed date of the merger scheme is Nov. 1, 2025, according to the amalgamation documents.
The merger will help in consolidation of real estate business, which will result in operational efficiency, according to the amalgamation scheme. The amalgamation will also help in pooling of technical resources, personnel, capabilities, skills and expertise leading to optimum use of infrastructure, cost reduction and efficiencies, reduction of administrative and operational costs.
Embellish Houses is a real estate development company in Mumbai. It was incorporated in October 2025 to consolidate the Godrej Group's real estate assets and operations. Godrej Properties is the real estate arm of the Indian conglomerate Godrej Group. Established in 1990, Godrej Properties is headquartered in Mumbai and operates in over 15 major cities, developing premium residential, commercial, and township projects.
On Wednesday, shares of Godrej Properties Ltd. ended 3.1% lower at INR 1,979.50 on the National Stock Exchange. End
