SEBI warns RIL on insider trading violations, seeks better compliance

KOLKATA – Reliance Industries Ltd. Monday said it has received an administrative warning from the Securities and Exchanges Board of India in relation to dealings of its scrip by two employees and one immediate relative of an employee in July 2024.
In a notice to the bourses, RIL said it will take steps to address the concerns mentioned in the letter from SEBI. The markets regulator has not imposed any financial or operational restrictions on the company, it said.
In its letter, SEBI said it conducted an investigation to ascertain, among other things, compliance with provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015, in relation to the dealings in the Reliance Industries scrip between Jun. 1 and Aug. 30, 2024. SEBI observed that three connected persons or their immediate relatives had traded in the scrip when in possession of unpublished price-sensitive information.
Although SEBI did not impose any penalty on the company, it advised Reliance Industries to be cautious in future and improve compliance standards to avoid recurrence of such instances.
For the March quarter, the conglomerate had reported a consolidated net profit of INR 169.71 billion on revenues of INR 2.99 trillion. Monday, its shares closed at INR 1,321.30 on the National Stock Exchange, up 1.3% from Friday. End
