NEW DELHI – The Mumbai bench of the National Company Law Tribunal Thursday approved the merger of Amba River Coke Ltd., Monnet Cement Ltd., JSW Retail and Distribution Ltd. with JSW Steel Ltd. Amba River, Monnet Cement and JSW Retail are wholly-owned subsidiaries of JSW Steel.

 

All the subsidiaries will be dissolved without winding up, the tribunal said. According to the scheme of amalgamation, no shares of JSW Steel will be allotted towards the discharge of consideration or exchange of the equity shareholding in the subsidiary companies. 

 

There are several commonalities and synergistic linkages between the companies and the merger will result in operational efficiency, according to the amalgamation scheme. The merger will help pool technical resources, personnel, capabilities, skills, and expertise, leading to optimal use of infrastructure and reduced costs, the scheme said.

 

Amba River is engaged in the manufacture and sale of coke and pellets. Monnet Cement has no business operations, while JSW Retail is engaged in facilitating the marketing and sale of steel products and providing technical consultancy services for the design, development, and production of all forms of metal sheets. 

 

Thursday, shares of JSW Steel ended 0.6% higher at INR 1,223.80 on the National Stock Exchange.  End
