Astral to demerge chemical business, merge Al-Aziz Plastics

NEW DELHI – Astral Ltd. Thursday said its board of directors has approved a composite scheme to demerge its chemical business into its wholly-owned subsidiary Astral Chemie Ltd., formerly known as Astral Coatings Pvt. Ltd. The board has also approved the amalgamation of its wholly-owned subsidiary Al-Aziz Plastics Pvt. Ltd. with the Astral, the company said in an exchange filing.
The equity shares of Astral Chemie shall be listed after receiving approvals from statutory and regulatory authorities, as per the exchange filing. As of Mar. 31, 2026, the turnover of the chemical business was INR 12.66 million. As of Mar. 31, Astral had a turnover of INR 59.08 billion, and Al-Aziz Plastics had a turnover of INR 373 million.
The chemicals business has diversified across adhesives, polyvinyl acetate (PVA), cyanoacrylates, solvent cements, silicone sealants, epoxy resins, construction chemicals, putties and allied products, and has further scaled into specialty chemicals segments through recent strategic acquisitions, all of which complement the existing paints and coatings business of the resulting company (Astral Chemie), the company said, adding that the reorganisation will consolidate the chemicals business with the existing paints and coatings business of Astral Chemie under a dedicated corporate platform.
According to the company, the amalgamation of Al-Aziz Plastics will enable the integration of its manufacturing facilities and capabilities, products, and customer relationships with the plumbing business of Astral.
For the March quarter, the company's consolidated net profit was INR 2.13 billion on revenues of INR 20.89 billion. Thursday, shares of Astral closed 3.2% lower at INR 1,486.90 on the National Stock Exchange. End
