--Honasa Consumer to buy 58% in Fluence Pharma; enterprise value INR 1.35 bln 

 

NEW DELHI – Honasa Consumer Ltd. Tuesday said it will acquire a 58% stake in Fluence Pharma Pvt. Ltd., a nutraceuticals company, through a secondary share purchase at an enterprise value of around INR 1.35 billion. Fluence Pharma sells condition-specific over-the-counter supplements under brands such as Hair Fact, Skin Fact and Pro Fact. The transaction is expected to be completed within the next eight weeks, the company said in an exchange filing.

 

Honasa said it will acquire the remaining 42% stake in Fluence Pharma through secondary purchases in two tranches over the next five to seven years, in line with the share purchase and shareholders' agreements. Mumbai-based Fluence Pharma offers hair and skin health supplements through a network of more than 3,000 dermatologists and has over 10 years of clinical, evidence-based operating history. Hair-focused products contribute over 70% of its revenue, according to the filing.
 

Fluence Pharma reported around INR 400 million in revenue for the financial year 2025-26 (Apr-Mar) with earnings before interest, taxes, depreciation, and amortisation margin of more than 20%. The company reported revenue from operations of INR 372.1 million in FY25, compared with INR 359.9 million in FY24 and INR 322.4 million in FY23, as per the exchange filing. 

 

Separately, Honasa's board approved the incorporation of a wholly owned subsidiary, Honasa Health Pvt. Ltd., to undertake business-to-consumer nutraceutical operations. The subsidiary will be incorporated with an initial paid-up capital of INR 100,000. "Under this new entity, the company will scale a highly differentiated B2C nutrition portfolio by combining Fluence's patented clinical science and deep practitioner trust with its own expertise in brand building, consumer insights, and digital-first distribution," the company said. 

 

For the March quarter, Honasa Consumer reported a consolidated net profit of INR 691.93 million on revenues of INR 6.57 billion. Tuesday, the company's shares ended at INR 419.80 on the National Stock Exchange, up 1% from the previous closing.  End
