AHMEDABAD - Bharti Airtel Ltd. has completed the acquisition of 16.3% stake in its African unit, Airtel Africa Plc., from a promoter-group entity, raising its direct holding in the company to about 79%, company said in a filing with the stock exchanges Tuesday.

 

Bharti Airtel said it acquired 595.2 million shares of Airtel Africa from Indian Continent Investment Ltd. as part of a share-swap transaction announced in May. To complete the transaction, Bharti Airtel's special committee approved the allotment of 146.8 million equity shares of Bharti Airtel to Indian Continent Investment on a preferential basis. Following the allotment, Indian Continent Investment holds about 3.25% of Bharti Airtel's post-issue equity share capital, the company said in its filing.

 

Subsequent to the preferential allotment, Bharti Airtel's paid-up equity share capital increased to INR 31.20 billion, comprising 6.24 billion fully paid-up equity shares and 1.11 million partly paid-up equity shares. The deal consolidates Bharti Airtel's ownership in Airtel Africa, strengthening its control over the Africa-focused telecom business while issuing fresh shares to the promoter-group entity as consideration for the stake acquisition.

 

For the March quarter, Bharti Airtel had reported a consolidated net profit of INR 73.25 billion on revenues of INR 553.83 billion. At 0953 IST, its shares were at INR 1,920.90 on the National Stock Exchange, up 0.2% from Monday.  End
