TVS Supply Chain Solutions arm invests INR 596 mln in Swamy & Sons

KOLKATA – TVS Supply Chain Solutions Ltd. Friday said its subsidiary FIT 3PL Warehousing Pvt. Ltd. has made an investment of INR 595.64 million in Swamy & Sons 3PL Pvt. Ltd to facilitate business expansion and strengthen the capabilities in fast moving consumer goods and consumer durables verticals. It is pursuant to the the execution of definitive agreements for proposed acquisition of 100% paid-up share capital of Swamy & Sons by way of combination of primary and secondary acquisition of securities, the company said in a notice on exchanges.
Swamy & Sons is a newly incorporated company formed by Swamy Sons Group headquartered in Hyderabad to acquire the business undertakings of Swamy Sons Group. It consists of Swamy Sons (Agencies) Pvt. Ltd., Sovereign Enterprises, a partnership firm, and another partnership firm, Crystal Marketing Corp.
The first tranche for subscription of 40,000 equity shares of Swamy & Sons by FIT 3PL has been completed resulting in the latter holding 80% of the paid-up share capital of Swamy & Sons. The acquisition of the remaining share capital will be completed by September, according to the filing.
For the December quarter, TVS Supply Chain reported a consolidated net profit of INR 107.2 million, compared with an INR-246.5-million loss a year ago, on a revenue of INR 27.16 billion. Friday, shares of TVS Supply Chain Solutions closed 4.99% up at INR 121.57 on the National Stock Exchange. End
