NCLT Kolkata bench approves EMC Ltd's merger with Salasar Techno Engg

NEW DELHI – The Kolkata bench of the National Company Law Tribunal Friday approved EMC Ltd.'s merger with Salasar Techno Engineering Ltd. EMC Ltd. shall stand dissolved without winding up from the date of the filing of the certified copy of the order with the Registrar of Companies, West Bengal, said tribunal.
According to the merger scheme, the authorised equity share capital of Salasar Techno will stand increased to the extent of the aggregate authorised share capital of EMC Ltd. Since EMC Ltd. is a wholly owned subsidiary of Salasar Techno, no new shares will be issued according to the merger documents.
In 2024, Salasar Techno had acquired EMC Ltd. as a going concern during the liquidation process. Both the companies are engaged in similar business. Salasar Techno is a financially strong company with a net worth of over INR 7 billion, said the merger scheme. The amalgamation would enable the parent transferee company to fully utilise physical, human and technical resources of the transferor company, scale up the operations and will provide financial security to the creditors and other stakeholders of EMC Ltd., said the merger documents.
With an overlap in products of both the companies, the combined entity would be better positioned to service customer needs, said the scheme. Salasar Techno could expand its existing core market using the strong research and development and production facilities of EMC Ltd., said the scheme.

On Friday, shares of Salasar Techno Engineering Ltd. ended 0.1% higher at INR 6.96 on the National Stock Exchange. End
