MUMBAI – LTM Ltd., through its wholly-owned subsidiary LTM UK Ltd., has made an offer to acquire Randstad-owned entities in Europe and Australia to scale up its domain-driven solutions and artificial intelligence services in the region, the company informed the exchanges Friday. LTM expects the acquisition to take place at an enterprise value of 160 million euros. The proposal is to buy Randstad companies operating in the Netherlands, France, and Australia along with their step-down subsidiaries in Belgium, Luxembourg, Portugal, Romania, and Germany. Together, these entities represent more than $500 million in annual revenue.

 

The proposed purchase is expected to be completed by the December quarter. LTM's UK subsidiary executed a put option deed with Randstad for the transaction. A put option deed is a legal binding contract that grants one party the right, but not the obligation, to sell assets at a pre-determined price within a fixed timeframe.

 

The proposed acquisition would expand LTM's presence in key markets, primarily across aerospace and defence, automotive, utilities, banking, and financial services sectors. It would enable local domain expertise and complementary regional capabilities in domain-driven digital engineering, cybersecurity, and internet of things, supported by onshore and nearshore delivery through centres in Romania and Portugal.

 

For the March quarter on a consolidated basis, LTM reported a net profit of INR 13.92 billion on revenues of INR 112.92 billion. At 0925 IST, its shares were at INR 4,050 on the National Stock Exchange, down 1.9% from Thursday's close.  End
