MUMBAI – Bharti Airtel Ltd. will issue shares worth INR 282 billion to Indian Continent Investment in a share swap deal to get 16.31% stake in Airtel Africa plc., according to an exchange filing Wednesday. Bharti Airtel will issue 146.8 million shares to Indian Continent Investment at INR 1,923 per share, at a premium of more than 7% to Wednesday's closing price. In return, it will get Airtel Africa's shares at a discount of nearly 12%.


Bharti Airtel will get more than 595 million shares of Indian Continent Investment in Airtel Africa after the share swap. "Apart from being cash-less and leverage neutral, the Transaction is accretive to EPS (earnings per share) of Airtel India with additional earnings outweighing the dilution," it said in the filing. "The Board recognized that the Transaction is in line with the objective of consolidating/strengthening shareholding in a strategic subsidiary."  End
