SC agrees to hear Sunjay Kapur family dispute on trust's functioning Thu

NEW DELHI – The Supreme Court Tuesday agreed to hear on Thursday a plea by late businessman Sunjay Kapur's mother Rani Kapur, seeking to restrain his wife Priya Kapur from interfering with the functioning of the RK Family Trust and Raghuvanshi Investment Pvt. Ltd., both of which hold stake in Sona BLW Precision Forgings Ltd, till the mediation proceedings between the parties are decided. Seeking a hearing of its case on Wednesday, Rani Kapur asked the court that she be solely authorised to operate the trust as per the terms of the RK Family Trust Deed. "We have entered into an arena where Mahabharat will look very small. We will look into it," said a bench of Justice J.B. Pardiwala and Justice K.V. Viswanathan.
Further, Rani Kapur has sought that the court pass an order restraining convening of Raghuvanshi Investment's board meeting, which was to appoint new independent directors and change the authorised signers of the company's bank accounts. Rani Kapur had argued that the agenda items showed a clear plan by Priya Kapur to completely remove the petitioner from Raghuvanshi Investment, and the respondents taking absolute control over the money and investments of the company.
The timing of the notice for meeting was not a coincidence, but a deliberate and dishonest plan to permanently change the current situation and control of Raghuvanshi Investment before the mediation could even begin, with a view to make the cause of action of the petitioner worthless, said Rani Kapur. The respondents have planned to bypass the apex court's process and make the upcoming court-monitored mediation infructuous with the sole motive and purpose of a forced takeover of Raghuvanshi Investment's finances and management and the disputed family estate. The action by Priya Kapur is a calculated, mala fide act designed solely to usurp the estate of Sunjay Kapur, said Rani Kapur.
The respondents are intentionally keeping the petitioner off every single newly formed or reconstituted committee to keep her in the dark, said Rani Kapur. This conduct of the respondents fortifies the petitioner's apprehension that there is every likelihood that an attempt would be made to transfer and alienate the family estate during the pendency of the mediation proceedings, Rani Kapur said.
On May 7, the Supreme Court had referred Priya Kapur and Rani Kapur to mediation to resolve disputes over the ownership of the family trust and appointed former chief justice of India D.Y. Chandrachud as the mediator. "This being a family affair, the endeavour on their part should be to get the disputes resolved at the earliest," said the court. It would await a preliminary report from the mediator before proceeding further, said the court, listing the case for hearing in August.
Earlier this year, Rani Kapur had moved the high court, seeking that the RK Family Trust be scrapped, and all assets and benefits in the trust be given to her. Rani Kapur said that Sunjay Kapur and Priya Kapur had fraudulently diverted her entire family legacy, estate, and movable and immovable assets originally inherited by her to the RK Family Trust. Rani Kapur had sought a permanent injunction against Priya Kapur and others from utilising or acting in furtherance of the RK Family Trust in any manner whatsoever. She has sought rendition of accounts of the RK Family Trust, from its inception, among other relief.
Rani Kapur said the estate has not been adequately preserved and there was a possibility of dissipation of assets. Courts typically grant protective orders at an early stage in disputes involving large estates. However, the Delhi High Court has not given any relief on her petition, Rani Kapur said.
At 1229 IST, shares of Sona BLW Precision Forgings Ltd. were down 0.1% at INR 592.75 on the National Stock Exchange. End
