--NCLT approves Sir Shadi Lal Enterprises' merger with Triveni Engineering

NEW DELHI – The Allahabad bench of the National Company Law Tribunal Thursday approved the merger of Sir Shadi Lal Enterprises Ltd. with Triveni Engineering & Industries Ltd., and the demerger of the latter's power transmission business into Triveni Power Transmission Ltd. A bench of judicial member Praveen Gupta and technical member Ashish Verma allowed the scheme of amalgamation filed by the parties. 

 

The scheme of arrangement said both Sir Shadi Lal and Triveni Engineering have manufacturing verticals of sugar and distillery and, as such, their amalgamation would lead to the consolidation of all operations pertaining to the manufacture of sugar, alcohol, ethanol in one entity. Transfer of the power transmission business from Triveni Engineering to Triveni Power would enable each business to sharpen its focus and organise its activities and resources to improve its offerings to their respective customers, according to the scheme of arrangement. This would help improve competitiveness, operational efficiency, agility and strengthen its position in relevant markets resulting in more sustainable growth and competitive advantage, it added.

 

The scheme stated that 100 equity shares of Triveni Engineering with a face value of INR 1 each fully paid-up would be issued to the equity shareholders of Sir Shadi Lal for every 137 equity shares held by the latter with face value of INR 10 each fully paid up. The scheme also stated that one equity share of INR 1 each fully paid up of Triveni Power would be issued to Triveni Engineering's shareholders for every three equity shares of INR 1 each fully paid up held in the latter company.

 

Triveni Engineering is a public company with its shares listed on the NSE and BSE and is engaged in the business of manufacturing and selling of sugar, production of alcohol and ethanol, and power cogeneration through bagasse-based cogeneration plants. Triveni Engineering is also involved in water treatment and wastewater management and gears and defence business segments. Sir Shadi Lal is a public limited company and its shares are listed on BSE. It a subsidiary of Triveni Engineering and is engaged in the business of manufacturing sugar, alcohol and ethanol, with two manufacturing units in Uttar Pradesh. Triveni Power was recently incorporated for the gears and defence business. 

 

At 1346 IST, shares of Triveni Engineering & Industries Ltd. were down 0.6% at INR 404.45 on the National Stock Exchange, and shares of Sir Shadi Lal Enterprises Ltd. were up 1.0% at INR 275.65.  End
