NCLT Mumbai approves Sashwat Energy's merger with Shapoorji Pallonji

NEW DELHI – The Mumbai bench of the National Company Law Tribunal has approved Sashwat Energy Pvt. Ltd.'s merger with Shapoorji Pallonji and Co. Pvt. Ltd. Sashwat Energy shall be dissolved without winding up, said the bench of judicial member Nilesh Sharma and technical member Charanjeet Singh Gulati. Sashwat Energy is a wholly owned subsidiary of Shapoorji Pallonji.

 

According to the scheme of amalgamation, the merger will help in enhanced scale of operations, improved controls, operational flexibility, organisational efficiency and optimal utilisation of various resources. The merger will assist in rationalising the corporate structure, consolidation of businesses under one roof and will result in a simplified structure and direct control of assets of Sashwat Energy in the hands of Shapoorji Pallonji, said the scheme.

 

The amalgamation will help in reduction in overheads including administrative, managerial and other expenditure, significant reduction in the multiplicity of legal and regulatory compliances required at present to be carried out by Sashwat Energy and Shapoorji Pallonji separately, said the scheme. It will also help in better management and focus on growing the business and optimum and efficient utilisation and rationalisation of capital, resources, assets and facilities, it said.

 

Shapoorji Pallonji is a flagship company which has various businesses such as engineering and construction, energy, water, infrastructure, real estate development, and financial services under it. Sashwat Energy is primarily engaged in the business of solar photovoltaic products, light emitting diode lighting, and solar water pumps.  End
