--NCLT Delhi approves merger of Velotio Tech, Scaleworx Tech with R Systems

 

NEW DELHI – The Delhi bench of the National Company Law Tribunal Thursday approved the merger of Velotio Technologies Pvt. Ltd. and Scaleworx Technologies Pvt. Ltd. with R Systems International Ltd. Scaleworx Technologies is a wholly owned subsidiary of Velotio Technologies, which is a subsidiary of R Systems. The tribunal said that both Velotio Technologies and Scaleworx Technologies shall stand dissolved without winding up.

 

"...we are of the considered view that the scheme is not prejudicial to the interest of the equity shareholders and creditors of the amalgamating companies and the amalgamated company," said the bench of judicial member Bachu Venkat Balaram Das and technical member Reena Sinha Puri. All the employees of the amalgamating companies in service shall become the employees of R Systems, without any break or interruption in service, said the tribunal.

 

The merger would enable integration of the business activities of the companies under a single entity and was thus expected to provide opportunities to unlock potential synergies, said the scheme of amalgamation. The merger will help streamline business operations, decision-making process, greater economies of scale and enhanced geographical reach, resulting in optimal and efficient utilisation of capital, said the scheme. The authorised share capital of R Systems shall stand increased and reclassified, it added.

 

R Systems is a global product engineering and digital solutions provider. The company combines complex engineering, data and artificial intelligence, cloud-native capabilities with deep domain understanding to design and build innovative products for technology, software as a service platforms and enterprises across industry verticals. 

 

Founded in Pune in 2016, Velotio Technologies specialised in helping technology companies build massive engineering teams that become an extension of in-house teams. The company has worked with more than 90 customers spread across varied industries including enterprise  software as a service, real estate, financial technology, infrastructure and security, and many others.

 

Scaleworx Technologies is a Pune-based information technology startup founded in 2020, specialising in development and operations, cloud-managed services and microservices for fast-growing startups. The company focuses on cloud engineering, infrastructure automation, and security services.

 

Thursday, shares of R Systems International ended 3.1% higher at INR 278.00 on the National Stock Exchange.  End
