MUMBAI – Manappuram Finance Ltd. Friday said it will allot equity shares and warrants worth INR 43.8 billion to two entities of Bain Capital. It will allot nearly 93 million equity shares to BC Asia Investments XXV Ltd. at INR 236 per share and the same number of warrants to BC Asia Investments XIV Ltd., according to an exchange filing.
One warrant can be converted into one equity share. The conversion can be done in one or more tranches starting four months after the date of allotment of the warrants and before the end of 18 months. BC Asia Investments XIV has paid INR 5.50 billion so far and the balance will be paid when it exercises the right to convert the warrants into equity shares in Manappuram Finance.
For the December quarter, Manappuram Finance had, on a consolidated basis, reported a net profit of INR 2.41 billion on a revenue of INR 23.5 billion. At 1224 IST, its shares were down over 3% at INR 253.80 on the National Stock Exchange. End
