--NCLT approves merger of UR Energy (India) with Jhaveri Credits & Capital

 

NEW DELHI – The Ahmedabad bench of the National Company Law Tribunal has approved the merger of U.R. Energy (India) Pvt. Ltd. with Jhaveri Credits & Capital Ltd. U.R. Energy (India) will be dissolved without winding up, the tribunal said. 

 

The scheme of amalgamation provided that 253 equity shares of Jhaveri Credits of face value INR 10 each, fully paid up, will be issued for every 500 equity shares of INR 10 each, fully paid up, held by the shareholders of U.R. Energy (India). The companies have also been directed to file a copy of the order along with a copy of the merger scheme with the Registrar of Companies concerned, the tribunal said.

 

According to the merger scheme, both companies were engaged in the same line of business and the amalgamation will enable Jhaveri Credits to absorb the business of U.R. Energy and leverage the combined assets to build a stronger and sustainable business. The merger will also result in greater economies of scale, improved financial strength, cost savings in statutory and procedural compliances, better corporate governance and transparency, and will lead to consolidation of value for the stakeholders, the scheme stated.

 

U.R. Energy was engaged in the business of developing, installing and supplying solar power systems for residential, commercial and utility-scale customers. Jhaveri Credits was involved in the business of trading and import-export of solar panels, inverters, cables and other electronic accessories, and also engaged in commodity broking. 

 

At 1405 IST, shares of Jhaveri Credits & Capital Ltd. were up 4.6% at INR 217.55 on the National Stock Exchange.  End
