Samvardhana Motherson arm closes Yutaka Giken tender offer at 3,024 yen/shr

MUMBAI – Samvardhana Motherson International Ltd.'s wholly-owned subsidiary, Motherson Global Investments B.V., completed its tender offer for Yutaka Giken Co. Ltd.'s shares Wednesday, acquiring 1.41 million common shares of the company at 3,024 yen per share. The settlement date for the tendered shares is Tuesday, the company told the stock exchanges in a filing.
In August, Samvardhana Motherson had informed the exchanges that Motherson Global would purchase 81% stake in Yutaka Giken and 11% stake in its subsidiary, Shinnichi Kogyo. Towards the end of January, the company said Motherson Global had commenced the tender offer for acquisition of stakes in the two companies.
Yutaka Giken is listed on the Tokyo Stock Exchange and owns 62% of Shinnichi Kogyo. The two companies produce metal components and are involved in the assembly of rotors and stators for motors, drive systems, brake systems, and thermal management systems.
For the December quarter, Samvardhana Motherson had reported a net profit of INR 10.24 billion on a revenue of INR 314.09 billion. Wednesday, its shares ended nearly 2% lower at INR 121.39 on the National Stock Exchange. End
