Alkem Lab to buy up to 55% in European firm making cardiovascular devices

MUMBAI – Alkem Laboratories Ltd. plans to buy at least 51% and up to 55% stake in a European firm manufacturing advanced cardiovascular devices, the company told the stock exchanges Friday. The company plans to acquire the stake in a cash deal at a total equity valuation of over 180 million euros, or about INR 19.36 billion, as per the filing. The company proposes to carry out the transaction through wholly-owned subsidiary Alkem Medtech Pvt. Ltd.

 

As per the filing, Alkem Medtech has made a binding offer to acquire at least 51% and up to 55% of the total equity share capital of Occlutech Holding AG from its current shareholders for a cash consideration. Occlutech, incorporated in 2000, is a Swiss limited liability company that develops, manufactures, and markets minimally invasive cardiac implants and accessories to treat congenital heart defects and prevent strokes and heart failures.

 

Occlutech has extensive global presence and a portfolio of products that adhere to the "highest" regulatory and quality standards, according to the filing. The acquisition is subject to foreign direct investment clearances to be obtained in Italy and Sweden and a precautionary filing in France, Alkem Laboratories said. The company hopes to complete the transaction by Jun. 30.

 

Separately, Alkem Laboratories amended the shareholder's agreement related to its joint venture with a Saudi Arabian citizen. Earlier, it had executed a shareholder's agreement with Abdulaziz Alsheikh to incorporate a subsidiary in Saudi Arabia. This subsidiary was to be in the form of a joint venture with Alkem Laboratories holding 51% of the share capital and the balance being held by the joint venture partner. As per the amendment, instead of the partner, a company wholly owned by him will now hold 49% stake in the joint venture.

 

Friday, shares of Alkem Laboratories closed 8% lower at INR 5,402.50 on the National Stock Exchange.  End
