Marico to acquire '4700BC' parent Zea Maize for INR 2.27 bln from PVR INOX

MUMBAI – Fast-moving consumer goods major Marico Ltd. plans to buy more than 93% stake in popcorn maker Zea Maize Pvt. Ltd. from PVR INOX Ltd. for INR 2.27 billion, according to a regulatory filing Monday. Zea Maize owns the popular packaged food brand "4700BC".

 

Marico will have the right to buy the remaining stake in Zea Maize after three years. Through the acquisition, Marico plans to expand its presence in the value-added foods categories, the company said. The acquisition is expected to be completed within a month.

 

"The investment in 4700BC aligns well with Marico's ambition to participate in fast-growing food categories through distinctive, future-ready brands," said Saugata Gupta, managing director and chief executive officer of Marico, in the filing. "We see immense potential in 4700BC as a premium snacking brand with deep consumer connect and proven execution. Together, we will tap the opportunity to leverage our existing scale in foods to broaden the brand's presence across channels while staying true to its consumer-first ethos and harnessing its top-notch innovation capabilities."

 

PVR INOX said it is selling its stake in the snacks company to focus on its cinema business and unlock shareholder value. "Overall, the transaction is expected to be accretive to PVR INOX's profit, free cash flow, and return ratios," PVR INOX said in a separate filing.

 

For the September quarter, Marico had, on a consolidated basis, reported a net profit of INR 4.20 billion on a revenue of INR 34.82 billion. For the same quarter, PVR INOX had reported, on a consolidated basis, a net profit of INR 1.06 billion on a revenue of INR 18.23 billion. Friday, shares of Marico had closed slightly lower at INR 740.95 on the National Stock Exchange and those of PVR INOX had closed nearly 3% down at INR 931. The equity markets were closed Monday for Republic Day.  End
