NEW DELHI - Vodafone Idea Ltd. Wednesday said it has reached an agreement with the UK-based Vodafone Group to amend its merger pact originally signed in March 2017. Post the amendment, the company stands to receive INR 58.4 billion from the promoter group, Vodafone Idea said in an exchange filing.
The amended implementation agreement governs the contingent liability adjustment mechanism, which was established when the merger between Vodafone India and Idea Cellular went through. At the time, the company had recorded INR 83.7 billion as receivable from Vodafone Group and currently, INR 63.9 billion is recognised as receivable, considering that INR 19.8 billion has already been paid to Vodafone Idea.
"The amendment to the IA (implementation agreement) ensures that the CLAM (contingent liability adjustment mechanism) Amount is recoverable, thereby strengthening the company's financial framework and enhancing predictability around future cash flows," Vodafone Idea said in an exchange filing.
Under the revised agreement, Vodafone Group promoters will release INR 23.1 billion over the next 12 months. A portion of the newly-agreed INR 58.4 billion is secured through the earmarking of 3.28 billion equity shares of Vodafone Idea by certain shareholders of the Vodafone Group for five years.
Vodafone Idea's shares closed at INR 10.7 on the National Stock Exchange on Wednesday, down 11.5%. Based on this closing price, the market value of the 3.28 billion shares stands at INR 35.3 billion. Payment by Vodafone Group to Vodafone Idea under the revised agreement does not require Vodafone Idea to make payments to the Department of Telecommunications as a pre-condition to receive the amount, the company said.
For the quarter ended September, Vodafone Idea had reported a consolidated net loss of INR 55.24 billion on consolidated revenue of INR 111.95 billion. End
