MUMBAI – Varun Beverages Ltd. Sunday said it has acquired a 100% stake in South Africa-based Twizza Proprietary Ltd. through its South African subsidiary, The Beverage Co. Proprietary Ltd., for an enterprise value of INR 11.19 billion, according to an exchange filing. Varun Beverages expects the acquisition to be completed on or before Jun. 30.
Twizza manufactures and distributes non-alcoholic beverages under its own brand. The acquisition will enable Varun Beverages subsidiary The Beverage Co. to penetrate deeper into the South African market through Twizza's three manufacturing facilities located in Cape Town, Queenstown and Middelburg. Twizaa has backward integration facilities at all plants with a total of five preform and one closure line.
In 2024-25 (Apr-Mar), Twizza's sales volumes were around 71 million cases of eight ounces each, with the company's turnover at ZAR 1.69 billion ($100.88 million) for the period. In FY23 and FY24, the company reported a turnover of ZAR 1.55 billion ($92.53 million) and ZAR 1.64 billion ($97.90 million) respectively, Varun Beverages said in an exchange filing. The acquisition is subject to regulatory and other approvals, such as, but not limited to, the approval from the competition commissions of South Africa, Botswana, and Eswatini.
For the quarter ended September, Varun Beverages reported a consolidated net profit of INR 7.41 billion on a revenue of INR 50.48 billion. On Friday, shares of the company ended nearly 1% lower at INR 469.40 on the National Stock Exchange. End
