SC stays HC summons to BYJU's parent resolution officer in contempt case

NEW DELHI – The Supreme Court Friday stayed a Kerala High Court order that directed the personal appearance of Think & Learn Pvt. Ltd.'s resolution professional Shailendra Ajmera, an authorised representative of the company's lender GLAS Trust Co. LLC and the India chairman of Ernst & Young LLP in a contempt case regarding BYJU's foreign assets. Think & Learn is the parent company of online educational services company BYJU's.
The apex court also issued a notice to complainant Voizzit Technology Pvt. Ltd. and others on GLAS Trust and Ajmera's plea against the high court order. The top court will hear the case on Jan. 23, 2026.
In May, the high court had restrained any transfer of BYJU's key overseas subsidiaries Epic! Creations Inc. and Tangible Play Inc. (Osmo). According to the complainant, despite the high court's protection, parallel bankruptcy actions and asset enforcement measures were initiated in the US against these companies using the same debt that GLAS Trust was relying on India with respect to Think & Learn, thereby violating the court's order. Think & Learn is currently undergoing insolvency proceedings on a petition by its operational creditor Board of Control for Cricket in India, and GLAS Trust is one of the members in the debt-ridden company’s committee of creditors.
The court noted that GLAS Trust had pursued enforcement action against BYJU's foreign subsidiaries while maintaining its full claim of INR 114.32 billion against Think & Learn in India, thereby enabling an unlawful double recovery. Further, there were conflict of interest allegations against Ernst & Young in the conduct of Think & Learn's insolvency process. Ernst & Young had advised on GLAS Trust's claim in the insolvency proceedings and also verified the debt-ridden company's claims in the insolvency process. It was alleged that Ajmera's office address was listed as Ernst & Young's Worldmark Aerocity office and, thereby, the company was exercising de facto control over the insolvency proceedings of Think & Learn.
