NEW DELHI – The Securities and Exchange Board of India has expectations of governance and investor interest from real estate investment trusts and infrastructure investment trusts, Chairman Tuhin Kanta Pandey said Friday at an industry event in New Delhi. Pandey said these metrics are "non-negotiable" for the markets regulator.

 

Pandey said REITs and InvITs as still at a nascent stage, adding that the fact that securities markets enforce transparency and governance through continuous disclosures, independent audits, and other measures, will apply to the two new markets as well.

 

The SEBI chairman highlighted tha lack of market depth and liquidity as challenges for REITs and InvITs. "SEBI will provide the enabling framework and guardrails, but it is the (REIT and InvIT) industry, sponsors, managers, advisors, industry bodies ,and intermediaries that must indeed... build a deep, liquid and trusted market," Pandey said.

 

The SEBI chief said the recent move by the markets regulator to allow classification of REITs as equity instruments will pave the way for index inclusion. Pandey expects this to attract passively-managed equity schemes of domestic mutual funds and foreign portfolio investors.

 

There are, currently, five listed REITs and 24 listed InvITs, according to Pandey. He said the InvITs span across multiple sectors such as roads, power transmission, telecom, warehousing, and commercial real estate.  End
