NCLT approves Reliance Velocity's amalgamation with Reliance Infrastructure

NEW DELHI – The Mumbai bench of the National Company Law Tribunal Monday approved Reliance Velocity Ltd.'s amalgamation with Anil Ambani-led Reliance Infrastructure Ltd. Reliance Velocity is a wholly owned subsidiary of Reliance Infrastructure.
"From the material on record, the scheme (of merger) appears to be fair and reasonable and is not in violation of any provisions of law and is not contrary to public policy considering that no objection has so far been received from any authority or creditors or members or any other stakeholders," said the tribunal.
Giving its approval for the merger of the two companies, the tribunal said that Reliance Velocity be dissolved without winding up. Any proceedings now pending by or against Reliance Velocity be continued by or against Reliance Infrastructure, said the tribunal.
In March, Reliance Infrastructure announced in its board meeting that it had approved the scheme of arrangement between the company and its wholly owned subsidiary. According to the scheme, the amalgamation will help rationalise and consolidate the group structure. It will also lead to improved operational efficiencies, cost savings and reduction of regulatory compliances that are currently carried out by respective entities, said the companies in the tribunal. The proposed amalgamation will reduce managerial overlaps, which are necessarily involved in running multiple entities, said the companies.
Reliance Velocity was engaged in the business of providing the support services to transport systems and related infrastructure projects. Reliance Infrastructure is in the business of providing engineering and construction services for power, roads, metro rail and other infrastructure sectors.
On Monday, the shares of Reliance Infrastructure Ltd. ended 0.3% higher at INR 266.05 on the National Stock Exchange. End
