SEBI floats consultation paper on amendment to strategic investor definition

MUMBAI – The Securities and Exchange Board of India Friday released a consultation paper seeking changes to the definition of strategic investor and has proposed inclusion of qualified institutional buyer for the same. The proposal also entails barring foreign portfolio investors who are individuals, corporate bodies or family offices from being termed as strategic investor, the release said. It has sought comments and suggestions by Aug. 22.
Post the amendments, strategic investor would mean an infrastructure finance company registered with the Reserve Bank of India as a non-banking financial company, a scheduled commercial bank, a multilateral or bilateral development financial institution, and systemically important non-banking financial companies registered with RBI.
The term would also mean a foreign portfolio investor other than individuals, corporate bodies and family offices, an insurance company registered with the Insurance Regulatory and Development Authority of India and a mutual fund. A qualified institutional buyer as defined under Regulation 2(1)(ss) of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 would also fall under the definition of a strategic investor, the release said.
