Bajaj Auto enters into call option pact, moves closer to KTM acquisition

MUMBAI – Bajaj Auto Ltd. Friday said its Dutch subsidiary has entered into a call option agreement with Pierer Konzerngesellschaft mbH and Pierer Industrie AG in its bid to acquire a majority stake in Austrian motorcycle-maker KTM. The agreement has been entered into for 50.65 million euros, or INR 4.91 billion, the company said in an exchange filing.
The call option may be exercised fully or in instalments by Bajaj Auto's Dutch arm Bajaj Auto International Holdings until May 31. Bajaj Auto currently holds an indirect 37.5% stake in KTM's listed parent company, Pierer Mobility AG. Through this deal, Bajaj Auto's Dutch arm is looking to buy a controlling stake in Pierer Bajaj AG, its associate in Austria, in which it currently holds 49.9% stake. Pierer Industrie AG holds the remaining 50.1% in Pierer Bajaj, which holds 75% stake in Pierer Mobility.
For the December quarter, Bajaj Auto had reported a net profit of INR 21.09 billion on a revenue of INR 128.07 billion. Friday, the company's shares closed marginally higher at INR 8,741.00 on the National Stock Exchange. End
