SEBI pushes for clarity in cos' quarterly disclosure of shareholding pattern

MUMBAI – The Securities and Exchange Board of India has directed listed companies to disclose details of non-disclosure undertaking, other encumbrances, and total number of shares pledged or otherwise encumbered including non-disclosure undertaking in the quarterly disclosure of their shareholding patterns, according to a circular Thursday. The circular also directs companies to disclose employee stock ownership plans along with the underlying outstanding convertible securities.
The market regulator announced these revisions on Thursday based on requests from depositories, stock exchanges and in the interest of providing transparency in the disclosure of shareholding pattern to investors, according to the circular. The revisions to the format for the quarterly disclosure of shareholding pattern and holding of specified securities will come into effect from the quarter ending June, SEBI said.
Another revision in the disclosure format will be the addition of a column in the existing shareholding pattern table to capture the details of total number of shares on fully diluted basis, including warrants, employee stock ownership plan, and convertible securities. End
